NJEM DIGITAL PLATFORM — TERMS OF SERVICE

Welcome to NJEM (the "Platform", "App", "Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the NJEM mobile application, website, and integrated e-commerce and logistics services.

By downloading, registering, or using the Platform, you ("User", "Customer", "Vendor", or "Merchant") agree to be bound legally by these Terms. If you do not agree to these terms, immediately uninstall the application and cease all use.

1. ACCOUNT REGISTRATION AND SECURITY

  • Eligibility: You must be at least 18 years old and possess the legal capacity to enter into binding agreements under applicable Nigerian laws.
  • Accuracy of Data: Users must provide accurate, current, and complete information during registration.
  • Account Security: You are entirely responsible for maintaining the confidentiality of your login credentials. Any activity or order placed under your account is deemed to be authorized by you.

2. UPSTREAM APP-BASED PAYMENTS

NJEM operates a strictly cashless digital payment ecosystem to protect both merchants and delivery assets:

  • Digital-Only Infrastructure: All transactions, delivery fees, and product purchases must be completed upstream via the Platform’s integrated payment gateways (e.g., Paystack, Flutterwave) before dispatch.
  • No Cash-on-Delivery (COD): NJEM dispatch riders are strictly prohibited from accepting physical cash or off-platform direct bank transfers at the doorstep. Any off-platform payment made by a user to a rider is a breach of contract, and NJEM accepts zero liability for any financial loss resulting from it.
  • Settlement Timelines: While payments are deducted instantly from the User, standard commercial banking settlement delays (T+1 or weekend processing gaps) may apply before final delivery validation.

3. LOGISTICS AND OTP DELIVERY VALIDATION

  • The OTP Security Lock: To guarantee secure delivery, the Platform automatically generates a unique 4-digit One-Time Password (OTP) upon order confirmation, which is sent directly to the purchasing Customer.
  • Doorstep Verification Requirement: The recipient must physically provide this 4-digit OTP to the NJEM dispatch rider at the point of delivery. The rider cannot mark an order as "Delivered" on the system without entering this code.
  • Conclusive Proof of Delivery: The inputting of the correct OTP into the Platform constitutes absolute, irrevocable legal proof that the items were received in perfect condition by the authorized customer. Once the OTP is successfully processed by the system, the transaction is closed, and claims for "non-delivery" or "missing packages" will not be entertained.
  • Geofencing Monitoring: NJEM tracks delivery drop-offs using GPS geofencing. Delivery coordinates must match the customer’s specified pin destination within an acceptable operational margin.

4. THE IN-APP WALLET AND REFUND POLICY

  • Non-Withdrawable Store Credit: In the event of an approved order cancellation, delivery failure, or merchant dispute, refunds are instantly credited directly to the User's NJEM In-App Digital Wallet.
  • The No-Cash-Out Rule: Funds sitting in your NJEM In-App Wallet derived from refunds, customer service adjustments, or promotional referral marketing campaigns cannot be withdrawn or transferred to a traditional bank account. These funds remain locked within the ecosystem and can only be used to offset the cost of future deliveries or e-commerce purchases on the Platform.
  • Expiration: Refund credits never expire. Marketing or promotional referral credits loaded by the Platform may carry an explicit 30-day expiration window, as noted on the app dashboard.

5. THE CHARGEBACK SHIELD & USER LIABILITY

Fraud Prevention & Chargebacks: Because delivery validation requires a secure, user-held OTP, any attempt by a User to log a fraudulent "chargeback dispute" with their commercial bank or financial card issuer after an OTP-validated delivery will be aggressively challenged.

Legal Remedies for Fraud: NJEM reserves the absolute right to present the system-logged OTP timestamp, geofenced GPS data, and digital Proof of Delivery (PoD) photos to payment processors and law enforcement agencies to invalidate fraudulent chargebacks. The User's account will be permanently deactivated, and blacklisted data will be shared across central merchant fraud networks.

6. VENDOR AND PRODUCT LIABILITY

  • Packaging Integrity: E-commerce merchants and vendors utilizing NJEM's logistics network are solely responsible for securely packaging their items to withstand standard motorcycle transit.
  • Exclusion of Liability: NJEM is not liable for structural damage to fragile or liquid goods resulting from inadequate packaging by the vendor.
  • Prohibited Items: Users must not use NJEM logistics to transport illegal substances, firearms, explosives, perishable items without prior thermal clearance, or high-value currency/jewelry. Contraband will be seized and handed over to the relevant law enforcement authorities.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, NJEM, its directors, and its employees shall not be liable for any indirect, incidental, special, or consequential damages arising out of network downtimes, app glitches, severe weather delays, or rider transit delays caused by traffic congestion or regulatory road closures.

8. AMENDMENTS AND GOVERNING LAW

Modifications: NJEM reserves the right to amend these Terms at any time. Your continued use of the app following updates constitutes your acceptance of the new Terms.

Governing Law: These Terms are governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, and any disputes shall be resolved within local commercial arbitration frameworks.
